Terms of Service

Who you are contracting with

DatMig is a registered business name of Photonic Wave Analyses Limited, a private limited company registered in Ireland under company number 810165 ("DatMig", "we", "us"). Our principal place of business is Rivers, Castletroy, Limerick, V94 C010, Ireland. Our VAT number is 4758049WH. You can reach us at support@datmig.com.

Accepting these terms

By creating a DatMig account or running a migration, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and "you" means that company. If you don't agree, don't use the service.

The service

DatMig provides prebuilt data migrations between third-party work-management platforms. You connect a source platform and a target platform, choose how your data should map across, and run the migration. What each migration supports is described on the relevant migration page, and may change as the connected platforms change.

Your account

Keep your account credentials confidential and don't share your login. You are responsible for everything done through your account. Tell us promptly at support@datmig.com if you believe it has been used without your permission.

Your data and your authority to move it

You keep all rights in the data you migrate. You are responsible for having the right to access and move that data, for complying with the terms of the connected platforms, and for any consents or notices your own users or customers require.

You grant us permission to access, transmit and process your data only as needed to run and audit the migrations you configure. How we handle it is set out in our Privacy Policy.

Plans, objects and billing

Each plan includes a number of migrated objects per monthly period. An object is any distinct item that must be queried separately from the source platform or written separately to the target platform, for example a project, a task, a subtask, a comment, an attachment, a custom-field value, a time entry or a dependency. An item counts once it reaches Migrated status. Objects that fail do not count against your limit.

Current plans and limits are shown on our pricing page. Paid plans are billed monthly in advance. Prices are stated exclusive of VAT, which is added where required.

When a migration reaches the migrated objects limit, it pauses automatically. It resumes either after you upgrade to a higher subscription or after the objects count is reset at the start of your next period.

Changes to prices and plans

We may change prices or plan limits. We will give you at least 15 days' notice by email before a change applies to your subscription, and the new price takes effect at your next renewal. If you don't accept a change, you may cancel before it takes effect.

Cancellation and refunds

You can cancel a paid subscription at any time by downgrading to the Free plan. Cancellation takes effect at the end of your current paid period; you keep access until then, and your account and migration history remain on the Free plan with its lower object limit.

Except where the law requires otherwise, fees already paid are not refunded for partial periods.

If you are a consumer, you normally have 14 days to withdraw from a distance contract for digital services. By completing checkout you expressly ask us to begin providing the service immediately, within that 14-day period, and you acknowledge that you lose your right to withdraw once the service has been fully performed. If you withdraw part-way through, you owe a proportionate amount for what you have already used. Nothing in these terms affects your statutory rights under Irish and EU consumer law.

Acceptable use

Don't use DatMig to migrate data you aren't authorised to access, to overload or abuse the connected platforms, to break their terms, to attempt to access other customers' data, to probe or disrupt our systems, or to do anything unlawful.

Third-party platforms

DatMig depends on APIs operated by the platforms you connect. Those platforms control their own features, rate limits, field types and availability, and can change or withdraw them at any time. We are not responsible for their acts, omissions or downtime, and a change on their side may reduce or interrupt what a migration can move. Your use of each source and target platform stays governed by your agreement with that platform.

Availability and support

We aim to keep DatMig available and to migrate your data accurately, but we do not commit to an uptime level unless we have agreed one with you in writing. We may carry out maintenance, and will try to limit disruption. Support is provided by email at support@datmig.com.

Verify your migrations

Every migration produces a per-item report. Check it, and satisfy yourself that your data has arrived correctly, before you decommission, delete or stop paying for a source system. Retrying failed objects and re-running a migration is far easier than recovering a source you have already switched off.

Data protection

Where we process personal data contained in the data you migrate, we do so as a processor acting on your instructions, and you act as controller. Our processing is governed by our data processing agreement, which forms part of these terms and lists the subprocessors we use. Our Privacy Policy explains how we handle personal data for which we are the controller, such as your account details.

Our intellectual property

The DatMig service, software, branding and documentation remain our intellectual property. Our terms of service here grant you a limited, non-exclusive, non-transferable right to use the service while your account is active. You may not copy, resell, reverse-engineer or create derivative works from it, except to the extent that applicable law permits and does not allow that restriction to be excluded by agreement.

Warranties

The service is provided "as is". To the fullest extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose and uninterrupted or error-free operation. Nothing here limits any rights you have as a consumer that cannot be excluded by law.

Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of or damage to data arising from your use of the service.

Our total liability arising out of or in connection with these terms is limited to the fees you paid us in the 6 months before the event giving rise to the claim if you are a business, or in the 12 months before that event if you are a consumer. A consumer is someone acting wholly or mainly outside their trade, business, craft or profession.

Your indemnity

You indemnify us against claims, losses and reasonable costs arising from your use of the service in breach of these terms, from data you had no right to migrate, or from your breach of a connected platform's terms.

Suspension and termination by us

We may suspend or terminate your access if you materially breach these terms, if payment fails and stays unpaid after we ask you to settle it, if your use threatens our systems or a connected platform, or if we are required to by law. Where it is reasonable to do so, we will warn you first and give you a chance to take corrective action.

What happens to your data when your account ends

We do not store the work data you migrate; it passes through our systems and is not retained. What we keep is migration metadata: object identifiers and names, per-job reports and API logs, so you can audit and retry your runs. In an active workspace, reports and logs are kept for six months by default, or for a period contracted in an Enterprise Agreement.

When you delete a workspace, its migration metadata is deleted immediately, apart from the workspace's own identifier, name and timestamps. When a user account is deleted, all data related to it is deleted immediately except that person's name and email address, which we keep so past jobs and the activity trail remain attributable for as long as a workspace they belonged to is active. We retain customer billing details and invoices for a period of six years from the date of creation of such data/documents.

Changes to the current terms

We may update the terms in effect. If a change materially affects you, we will give you at least 15 days' notice by email or in the product before it takes effect. Continuing to use DatMig after that means you accept the updated terms. If you don't want to accept, you have the right to cancel your subscription and/or delete your workspace.

Events outside our control

We are not liable for failure or delay caused by events beyond our reasonable control, including outages at the connected platforms, at our hosting provider, or across the wider internet.

General

You may not assign or otherwise transfer your rights or obligations under these terms without our prior written consent. We may assign or transfer our rights and obligations to a group company, or to a third party in connection with a merger, acquisition or sale of all or substantially all of our business. If any provision of these terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. These terms, together with the Privacy Policy and any data processing agreement, constitute the entire agreement between the parties in relation to their subject matter. Where you have entered into a separate written agreement with us, including an Enterprise Agreement, that agreement prevails over these terms to the extent of any conflict.

Governing law and disputes

These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, except that consumers may bring claims in the courts of their country of residence where the law gives them that right.
